Terms of Service

By creating an account, requesting a demo, or otherwise accessing the ONTRACE.AI platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms on behalf of yourself and, where applicable, your organisation.

If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

Subject to these Terms and any applicable order form or subscription agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the ONTRACE.AI platform solely for your internal business purposes.

You agree not to:

• Use the platform in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of the platform or its related systems
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell, sublicense, or otherwise make the platform available to third parties without our written consent
• Use the platform to transmit malware, spam, or any harmful or unlawful content
• Interfere with or disrupt the integrity or performance of the platform

We reserve the right to suspend or terminate access for any account found to be in breach of these restrictions.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [click to reveal email] if you suspect any unauthorised use of your account.

We cannot and will not be liable for any loss or damage resulting from your failure to maintain the security of your account credentials.

The ONTRACE.AI platform, including all software, designs, text, graphics, logos, and content, is and remains the exclusive intellectual property of OnTrace.ai Ltd and its licensors. All rights are reserved.

Nothing in these Terms grants you any right, title, or interest in the platform beyond the limited access rights described herein. The ONTRACE.AI name, logo, and related marks are trademarks of OnTrace.ai Ltd and may not be used without our prior written permission.

You retain ownership of any data, content, or materials you upload to the platform ("Customer Data"). By uploading Customer Data, you grant us a limited licence to process and store that data solely for the purpose of delivering the service to you.

Access to the ONTRACE.AI platform is subject to a subscription agreement and the payment of applicable fees as set out in a separate order form or proposal. Fees are invoiced in advance for each subscription term and are non-refundable except as expressly set out in the applicable agreement.

We reserve the right to adjust pricing with reasonable prior notice. Continued use of the platform following a pricing change constitutes acceptance of the updated fees.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components, or that any content or data accessible through the platform is accurate or complete. The platform is a decision-support tool; it does not replace qualified professional advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONTRACE.AI AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to ONTRACE.AI in the twelve (12) months immediately preceding the event giving rise to the claim.

Either party may terminate the agreement by providing notice in accordance with the applicable subscription agreement. We may suspend or terminate your access immediately and without notice if you breach these Terms or engage in conduct that is unlawful, abusive, or harmful to the platform or other users.

Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — will continue to apply.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction of OnTrace.ai Ltd's registered office, unless otherwise agreed in a separate written agreement.
